Title: Contract Between Godfrey and Steele
Transcription: Articles of Agreement made and concluded the eleventh day of December A. D. 1848 between Franklin Steele of Fort Snelling Iowa Territory of the First part Legal term often used in contracts, refers to Franklin Steele, who is hiring Godfrey to build the mill at St. Anthony Falls. and Ard Godfrey of the County of St. Croix and Territory of Wisconsin of the second part. Legal term, refers to Ard Godfrey.The said party of the first part for the consideration hereinafter mentioned has agreed and does hereby covenant, promise and agree, that he will for the space of two years next ensuing the date of these presents pay to the said party of the second part the sum of one thousand five hundred dollars annually, to be paid quarterly, if the said party of the second part so require. And the said party of the first part has further covenanted promised and agreed and does herby further covenant promise and agree that he will furnish to the said party of the second part a good and convenient dwelling house to be occupied by the said party of the second part during the said term of two years. And the said party of the first part does hereby further covenant and agree with the said party of the second part that whereas the said party of the first part has by an instrument of writing under seal bearing even date with these presents agree to convey __________ Possible space for a sum of money, left blank in this contract. to the said party of the second part one undivided twentieth of the capital stock Company shares owned by investors. of the mills at the Falls of St. Anthony, that, in case the said party of the first part shall within the said space of two years sell to any person or persons an interest greater than one half of the capital stock aforesaid, the above mentioned one twentieth part of the said stock so conveyed to the said party of the second part, shall if the said party of the second part shall so desire, be included as a portion of said interest greater than one half, so to be sold or disposed of. And the said party of the first part does further covenant and agree with the said party of the second part that if he the said party of the first part shall within the said space of two years next ensuing the date of these presents sell or dispose of any interest in the said stock greater than one half, he the said party of the first part will make such sale subject to the covenants and agreements contained in these presents. And the said party of the second part in consideration of the above covenants promises and agreements of the said party of the first part, has agreed, and does hereby covenant promise and agree that he will for the space of two years aforesaid devote his entire time labor and services to the construction of machinery, and the superintendence Management and supervision. of such construction, the care and superintendence of workmen, and such other employment or employments as may be deemed best calculated to promote the interests of the said party of the first part or others who may be associated with him, or who may become in part or entirely the owners of the mills and other property, whether real or personal, included in the capital stock of the mills at the Falls of St. Anthony.
